1. Acceptance of Terms

By accessing or using the Wrench Keep application ("Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service. These terms apply to all visitors, users, and others who access or use the Service.

2. Eligibility and Account Responsibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use Wrench Keep. You are responsible for safeguarding the password and credentials that you use to access the Service and for any activities or actions under your account. You agree not to disclose your password to any third party and must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Description of Service

Wrench Keep provides a digital platform for mechanics and trades professionals to manage their physical tool inventory. Features include:

  • Creating digital representations of toolboxes and organizational sections.
  • Logging individual tools, scanners, and equipment with purchase values and serial numbers.
  • Uploading reference photos of tools and storage layouts.
  • Exporting inventory records via PDF for personal or insurance purposes.
  • Maintaining a wishlist for future purchases and tracking loaned tools.

4. User Content and Ownership

You retain all rights to any data, information, photos, or other content ("User Content") that you submit, post, or display on or through Wrench Keep. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license strictly to use, copy, reproduce, and process such User Content as necessary to operate and provide the Service to you.

5. Inventory Records and Accuracy Disclaimer

Wrench Keep acts solely as a digital logbook to help document your assets. We do not appraise, verify, or guarantee the accuracy of the monetary values, purchase dates, or other details you enter.

Important: The records and exported PDFs generated by Wrench Keep are for your personal documentation. We make no representations or guarantees that these records will be accepted by insurance companies, employers, or law enforcement as valid proof of ownership or value in the event of a claim.

6. Photos, Serial Numbers, and Exported Reports

Users are solely responsible for ensuring that the serial numbers, photos, and descriptions uploaded to Wrench Keep accurately reflect the tools they physically possess. Any exported reports containing sensitive information are the user's responsibility to secure. We are not liable for the exposure of your tool inventory details if you share your exported PDFs with third parties.

7. Subscription Billing and Renewal

Certain features of Wrench Keep are provided via a premium "Pro" subscription plan. The subscription is billed at $4.99 per month or $39.99 per year.

Subscriptions are processed securely via Stripe. Unless cancelled before the end of the current billing period, your subscription will automatically renew. You authorize us (via our third-party payment processor) to charge your payment method for the renewal term.

8. Cancellation and Refunds

You may cancel your Wrench Keep subscription at any time through your account settings. Canceling your subscription stops all future recurring charges, and you will retain access to the premium features until the end of your current paid billing period.

Unless required by law, subscription fees are non-refundable. We do not provide retroactive refunds for partially used billing periods or if an insurance provider rejects your inventory records.

9. Acceptable Use

You agree not to use the Service in any way that is unlawful, illegal, fraudulent, or harmful. This includes attempting to gain unauthorized access to our systems, uploading malicious code, or engaging in activities that disrupt the Service's infrastructure or performance.

10. Data Loss and Availability Disclaimer

We strive to ensure high availability and utilize cloud databases with standard backup practices. However, Wrench Keep is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee absolute protection against data loss resulting from server failures, network issues, or user error. We recommend regularly exporting your tool inventory to PDF as an independent backup.

11. Intellectual Property

The Wrench Keep name, branding, source code, visual design, and underlying service architecture are the exclusive property of Wrench Keep and its licensors. Our intellectual property may not be used in connection with any product or service without our prior written consent.

12. Limitation of Liability

In no event shall Wrench Keep, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

13. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
